1. ACCEPTANCE OF TERMS
By enrolling in the Duemani Wine Club (“Wine Club”), purchasing wine through our Wine Club program, or accessing our Wine Club services, you (“Member,” “you,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). These Terms constitute a legally binding agreement between you and AHG 216 LLC dba Duemani (“Company,” “we,” “us,” or “our”).
2. ELIGIBILITY AND AGE REQUIREMENTS
2.1 Age Verification: You must be at least twenty-one (21) years of age to participate in the Wine Club. By enrolling, you represent and warrant that you are at least 21 years old.
2.2 Age Verification Process: In compliance with C.R.S. § 44-3-901(11) and 1 CCR 203-2 Regulation 47-912, we require adequate identification for age verification prior to purchase. Acceptable forms of identification include:
- Valid, unexpired driver’s license or state-issued identification card from any U.S. state
- Valid U.S. passport or passport identification card
- Valid U.S. military identification card
- Valid consular identification card
2.3 Legal Capacity: You represent that you have the legal capacity to enter into this agreement and that you are not prohibited by law from purchasing or possessing alcoholic beverages.
3. WINE CLUB MEMBERSHIP
3.1 Wine Selection: Wine Club selections are curated by Company with new selections announced at the beginning of each month for the following month’s packages. Everyday Drinkers Tier features approachable, food-friendly wines perfect for daily enjoyment, while Reserve Tier includes premium wines, limited releases, and exceptional bottles from renowned producers. Members acknowledge that specific wines may not always be available due to inventory limitations.
3.2 Membership Tiers: The Wine Club offers two wine package tiers available through subscription or one-time purchase:
Everyday Drinkers Tier:
- Two (2) bottles per package
- Price: $125.00 per package (plus applicable tax)
- Wine selection: Carefully curated everyday wines perfect for daily enjoyment, featuring approachable varietals and food-friendly selections
- Available as: Monthly subscription or one-time purchase
Reserve Tier:
- Two (2) bottles per package
- Price: $350.00 per package (plus applicable tax)
- Wine selection: Premium and rare wines, including limited releases, aged vintages, and exceptional bottles from renowned producers
- Available as: Monthly subscription or one-time purchase
3.3 Subscription vs. One-Time Purchase:
- Monthly Subscription: Automatic monthly delivery and billing on the same date each month. Members may cancel, pause, or modify subscriptions at any time with notice.
- One-Time Purchase: Single purchase of either tier package without ongoing commitment.
3.4 Wine Selection Announcements: New wine selections for each tier will be published and announced to members at the beginning of each month for wines that will be included in the following month’s packages. This allows members to make informed decisions about their upcoming shipments.
3.5 Tier Selection and Changes: Members may select their preferred tier and purchase method upon enrollment. Subscription members may change tiers, pause subscriptions, or switch to one-time purchases by contacting Company prior to the monthly announcement date.
3.6 Colorado Licensing: Company operates under the appropriate Colorado liquor licenses as required by Colorado Revised Statutes Title 44, Article 3. All wine sales are conducted in compliance with Colorado alcohol beverage regulations.
3.7 Membership Modifications: Company reserves the right to modify Wine Club offerings, pricing, tier structures, or terms at any time, with or without notice to Members.
4. ORDERING, TAKEOUT AND DELIVERY
4.1 Takeout Requirements: Takeout is available for Members with verification of valid identification and will not be provided to anyone under the age of 21.
4.2 Delivery Requirements:
- Delivery is available only to Colorado residents at Colorado addresses
- Adult signature (21+) required upon delivery
- Delivery person will verify recipient’s age and identity
- Wine may not be left unattended or delivered to minors
4.3 Delivery Restrictions: We do not deliver to P.O. boxes, military bases, or addresses where delivery is prohibited by local law or ordinance.
5.PAYMENT PROCESSING
5.1 Third-Party Processing: All payments are processed through our third-party e-commerce provider. Company does not store, retain, or have access to your complete credit card information.
5.2 Payment Authorization: By providing payment information, you authorize Company to charge the amounts corresponding to your selected tier ($125.00 for Everyday Drinkers or $350.00 for Reserve) plus applicable taxes and fees. For monthly subscriptions, billing will occur monthly on the same date. For one-time purchases, billing occurs at the time of order.
5.3 Payment Security: Our third-party payment processor maintains PCI DSS compliance and uses industry-standard encryption to protect your payment information.
6. LIMITATION OF LIABILITY
6.1 Colorado Liability Limitations: In accordance with C.R.S § 44-3-801, Company’s liability for any claims arising from the sale or service of alcoholic beverages is subject to the limitations set forth in Colorado law.
6.2 General Liability Limitation: TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY’S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE WINE CLUB SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR WINE CLUB MEMBERSHIP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
6.3 Consequential Damages: COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR LOST DATA.
7. RESPONSIBLE CONSUMPTION
7.1 No Resale: Member agrees that wine purchased through the Wine Club is for personal consumption only.
7.2 Intoxicated Persons: Company reserves the right to refuse service to any person who appears to be visibly intoxicated, in compliance with Colorado liquor regulations.
8. CANCELLATION AND REFUNDS
8.1 Subscription Cancellation: Members with monthly subscriptions may cancel at any time by providing written notice. Cancellation will take effect immediately, preventing future shipments and charges. Members may also pause subscriptions for up to three (3) months or change tiers with written notice.
8.2 One-Time Purchase: One-time purchases are final once the order is placed and payment is processed.
8.3 Advance Notice: Since wine selections are announced at the beginning of each month for the following month’s shipments, subscription members have the opportunity to review upcoming selections and make changes before the shipment is prepared.
8.4 Company Cancellation: Company reserves the right to cancel any subscription or refuse any purchase for violation of these Terms or applicable law.
8.5 Modification of Wine Selection: Company reserves the right to modify any wine selection based on availability of the wine.
8.6 Refund Policy: All Sales are Final.
9. COMPLIANCE WITH LAW
All Wine Club operations comply with Colorado liquor laws including the Colorado Liquor Code (Colorado Revised Statutes Title 44, Article 3) and applicable Colorado Liquor Rules (1 C.C.R. 203-2). In the event a change in Colorado law renders any aspect of Wine Club operation unlawful, Company may modify or cancel the Wine Club without prior notice.
10.PRIVACY AND DATA PROTECTION
10.1 Information Collection: We collect only the minimum information necessary to process Wine Club orders and ensure legal compliance, including age verification.
10.2 Information Sharing: We do not sell or share personal information except as necessary to fulfill orders, comply with legal obligations, or as required by law enforcement.
10.3 Record Retention: We maintain records of wine sales and deliveries as required by C.R.S. § 44-3-701.
11. INTELLECTUAL PROPERTY
All content, trademarks, and materials related to the Wine Club remain the property of Company.
12. INDEMNIFICATION
Members agree to indemnify and hold harmless Company, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Member’s violation of these Terms
- Member’s violation of any applicable law
- Member’s misuse of Wine Club services
- Any third-party claims arising from Member’s consumption or handling of wine
13. FORCE MAJEURE
Company shall not be liable for any delays or failures in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, labor disputes, or supply chain disruptions.
14. DISPUTE RESOLUTION
14.1 Governing Law: These Terms are governed by Colorado state law without regard to conflict of law principles.
14.2 Jurisdiction: Any legal proceedings shall be subject to the jurisdiction of Colorado state and federal courts, with venue in Pitkin County, Colorado.
14.3 Limitation Period: Any claim with respect to the Wine Club must be brought within 30 days of receipt of the Wine.
15. SEVERABILITY
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16. MODIFICATIONS
Company may update these Terms from time to time and will make reasonable effort to notify Members of material changes via email or other reasonable means. Continued participation in the Wine Club constitutes acceptance of updated Terms.

18. ACKNOWLEDGMENT
BY ENROLLING IN THE WINE CLUB, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. YOU FURTHER ACKNOWLEDGE THAT YOU ARE AT LEAST 21 YEARS OF AGE AND LEGALLY AUTHORIZED TO PURCHASE ALCOHOLIC BEVERAGES IN THE STATE OF COLORADO.
